These Terms & Conditions (“Terms”) govern your access to and use of the Asideka platform, including our website, business directory, verification features, due diligence marketplace and AI-powered trade intelligence tools (together, the “Platform”). Asideka is operated by Asideka Africa Company Limited, a company registered in Ghana (“Asideka”, “we”, “us” or “our”). By creating an account, browsing the Platform or otherwise using our services, you agree to these Terms. If you are using the Platform on behalf of a business, you confirm you have the authority to bind that business, and “you” refers to both you and that business.

1. What Asideka Does

Asideka helps businesses discover, evaluate and engage with credible trading partners and service providers across Africa and, over time, beyond. The Platform brings together three things: a directory of businesses, some sourced and vetted by Asideka and others created directly by their owners; verification and trust indicators; and a marketplace connecting users to independent due diligence providers.

Asideka is a discovery, verification and connection tool. We are not a broker, agent, escrow provider or party to any transaction, engagement or agreement you enter into with a business, individual or due diligence provider found through the Platform, and we do not guarantee that any transaction, engagement or claim process will be completed or successful.

2. Accounts

You must be at least 18 years old and able to form a binding contract to use Asideka. When you register, you choose an account type: a Solopreneur account, for individuals offering products or services in their own capacity, or a Business account, for registered companies and organisations.

You are responsible for selecting the account type that accurately reflects your status, for the accuracy of the information you provide, for keeping your login details secure, and for all activity under your account. Tell us promptly if you suspect unauthorised use.

3. Business Profiles on the Platform

Profiles on Asideka arise in one of three ways, and this section explains how each works.

3.1 Asideka-Sourced Profiles and Claiming

Asideka researches, compiles and publishes profiles of businesses across Africa using publicly available information and our own verification work, in order to build a useful directory before every business has joined directly. If your business appears on the Platform this way and you are its owner, authorised representative or director, you may request to “claim” the profile. We will ask you to provide reasonable evidence of your authority over the business before approving a claim. Once a claim is approved, you gain the ability to manage, update, correct or request removal of that profile, and it is treated as your Business account going forward.

Until a profile is claimed, Asideka remains responsible for its content and will correct or remove information on request from a verified owner or representative, or where we have reason to believe it is inaccurate. A profile appearing on Asideka is not an endorsement, certification or guarantee by Asideka of that business, and inclusion does not itself create any obligation between Asideka and the business until the profile is claimed and the business agrees to these Terms.

If you believe a profile has been claimed fraudulently or by someone without authority to do so, contact us immediately so we can investigate and, where appropriate, reverse the claim.

3.2 Self-Registered Profiles

If you create your own Solopreneur or Business profile directly, rather than claiming an existing one, you confirm that the information you submit is accurate and that you have the right to submit it. This is “User Content.” You grant Asideka a non-exclusive, worldwide, royalty-free licence to host, display, reproduce and distribute your User Content as part of operating and promoting the Platform. You remain responsible for keeping it up to date, and we may request supporting evidence, or correct, suspend or remove a profile at our discretion, including where information appears inaccurate, unverifiable or misleading.

4. Verification and Trust Indicators

Asideka assigns verification status and, where available, trust or risk indicators to profiles, whether Asideka-sourced, claimed or self-registered, to help you assess businesses on the Platform. These are based on the information reasonably available to us at the time and are intended as decision support, not a guarantee.

A verified status does not mean Asideka has confirmed that a business is trustworthy, solvent, compliant with all applicable laws, or capable of performing any transaction, and you should carry out checks appropriate to the value and risk of any dealing.

5. Due Diligence Marketplace

Asideka connects users who want to transact with a counterparty across Africa to independent due diligence providers who offer services such as legal, financial, background or market due diligence (“DD Partners”). Asideka's role is limited to facilitating that introduction and, where applicable, processing related payments. Asideka is not itself a due diligence provider, does not perform, supervise or guarantee the work of any DD Partner, and is not a party to the engagement between you and a DD Partner.

Any due diligence report, finding or recommendation is the responsibility of the DD Partner that produced it, and your engagement with a DD Partner will be governed by that provider's own terms, scope of work and fees, which you should review before proceeding. We take reasonable steps to onboard credible DD Partners but do not warrant the accuracy, completeness, timeliness or suitability of any due diligence service, and you should treat a due diligence report as one input into your own commercial judgement, not a substitute for it.

6. AI Trade Intelligence

Our AI-powered trade intelligence tools are designed to help you interpret publicly available and authoritative sources on tariffs, trade requirements and market information. This output is generated by AI, may be incomplete, may not reflect the most recent regulatory changes, and should not be treated as legal, customs, tax or professional advice. Verify any tariff, duty, documentation or compliance information with the relevant authority or a qualified professional before relying on it commercially.

7. Acceptable Use

You agree not to:

  • Misrepresent your identity, your authority to claim a profile, or a business's identity.
  • Submit false, fraudulent or misleading information.
  • Use the Platform to scrape, harvest or resell our data without permission.
  • Interfere with the security or normal operation of the Platform.
  • Use the Platform for any unlawful purpose, including sanctions evasion, fraud or trade in prohibited goods.
  • Attempt to circumvent verification, claiming or due diligence features.

Enforcement

We may suspend or terminate access for conduct that breaches this section.

8. Fees and Payments

Certain features of the Platform, including basic discovery and browsing, are free to use. Other features, including advanced intelligence, verification tiers, and access to the due diligence marketplace, may require payment, either to Asideka or, in the case of due diligence services, to the relevant DD Partner.

Where fees apply, they will be presented to you before you incur them. Fees are non-refundable except as required by law or as separately agreed in writing. We may change our pricing or introduce new paid features, and will give reasonable notice before charging you for something that was previously free.

9. Intellectual Property

The Platform, including its software, design, database structure, verification methodology and AI systems, is owned by Asideka or our licensors and is protected by intellectual property laws. Except for the licence to use the Platform as intended, and the licence you grant us over your own User Content, nothing in these Terms transfers ownership rights between you and Asideka. You may not copy, modify, reverse-engineer or create derivative works from the Platform without our written consent.

10. Third Parties

The Platform connects you with third parties, including other businesses, solopreneurs and DD Partners, that Asideka does not control. We are not responsible for the content, accuracy, conduct or services of any third party, and your dealings with any party found through the Platform are solely between you and that party.

11. Privacy

Our collection and use of personal and business data, including data we compile about businesses before they join the Platform, is described in our Privacy Policy, which forms part of these Terms.

12. Disclaimers

The Platform is provided “as is” and “as available.” To the fullest extent permitted by law, Asideka disclaims all warranties, express or implied, including as to accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free or secure, or that any profile, verification status, due diligence service or intelligence output is accurate, current or complete.

13. Limitation of Liability

To the fullest extent permitted by law, Asideka will not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or business opportunity, arising from your use of the Platform, any transaction with a business or DD Partner found through it, or any claim, verification or due diligence process.

Our total liability for any claim arising out of these Terms or your use of the Platform will not exceed the greater of the fees you paid Asideka in the twelve months before the claim arose, or USD 100. Nothing in these Terms limits liability that cannot be limited by law.

14. Indemnification

You agree to indemnify and hold Asideka harmless from any claims, losses or expenses, including reasonable legal fees, arising from your breach of these Terms, your User Content, a claim you make over a profile, or your use of the Platform in a way that harms a third party.

15. Suspension and Termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access, or reverse a profile claim, if you breach these Terms, if required by law, or if we reasonably believe your continued access poses a risk to the Platform or its users.

Provisions that by their nature should survive termination, including sections 9, 11, 12, 13 and 14, will continue to apply.

16. Changes to These Terms

We may update these Terms as the Platform evolves. Where changes are material, we will give reasonable notice before they take effect. Continuing to use the Platform after changes take effect means you accept the updated Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of Ghana, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform will be resolved in the courts of Ghana, and you consent to their exclusive jurisdiction, except where local law gives you the right to bring a claim in your home jurisdiction.

18. General

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect. Our failure to enforce a provision is not a waiver of our right to do so later. These Terms, together with our Privacy Policy and any DD Partner or service-specific agreement, constitute the entire agreement between you and Asideka regarding the Platform.

19. Contact Us

If you have questions about these Terms, or wish to claim a profile or report one for correction or removal, contact us at admin@asideka.com.
